01Agreement to these terms
These Terms & Conditions (the "Terms") are a binding agreement between you and Elite Ride Limousines ("Elite Ride Limousines", "we", "us" or "our"). They govern your access to and use of eliteridelimousine.com, our web console, our application programming interfaces and, once released, our iOS and Android applications, together with the transportation services arranged through them (the "Services").
By accessing or using the Services you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you confirm that you are authorized to bind that organization to these Terms.
02Pre-launch status
Our platform is currently in development and is offered on an early-access, invitation basis. Features, service areas, vehicles, pricing and availability described on the Services are subject to change and may not yet be available. Build progress and other forward-looking information is provided for general information only and is not a commitment to deliver any feature by any date. Terms that relate to bookings, fares and rides apply once those features become available to you.
03Eligibility and accounts
- You must be at least 18 years old and able to enter into a binding contract to hold an account or book a ride.
- You agree to provide accurate, current information and to keep it up to date.
- You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.
- Accounts are personal to you and may not be transferred. We may suspend or close accounts that violate these Terms.
04Our services
Elite Ride Limousines arranges luxury ground transportation, including airport transfers, corporate and executive travel, event transportation, hourly as-directed service and city-to-city rides. Transportation is performed by Elite Ride Limousines or by licensed, insured, independent chauffeur and fleet partners. We may decline, reassign or cancel a request where required for safety, legal, operational or availability reasons.
05Bookings, fares and payment
- Quotes and fares: the fare or rate for a booking will be shown before you confirm. Unless stated otherwise, fares may include a base rate, time and distance, and applicable tolls, airport and parking fees, surcharges, gratuity and taxes.
- Payment: you authorize us and our payment processor to charge your selected payment method for all amounts due, including adjustments for changes you make during a trip. You agree to keep a valid payment method on file.
- Wait time and extra stops: complimentary wait time, if any, will be disclosed at booking. Additional waiting, extra stops and route changes may incur further charges.
- Corporate accounts: bookings made under a corporate account are also subject to the agreement between Elite Ride Limousines and that organization.
- Currency: all amounts are in United States dollars unless stated otherwise.
06Cancellations, changes and no-shows
The cancellation terms that apply to a booking, including any free-cancellation window and the fees that apply after it, will be disclosed before you confirm and form part of these Terms. If you are not at the pickup location within the disclosed wait time and cannot be reached, the booking may be treated as a no-show and charged in full. If we cancel a confirmed booking, you will not be charged for it, and any amount already paid for that booking will be refunded.
07Rider conduct and safety
- All passengers must wear seat belts and comply with applicable law and the chauffeur's reasonable safety instructions.
- Children must travel in an appropriate child restraint where the law requires one. Tell us at booking if you need one.
- Smoking, vaping and illegal substances are not permitted in any vehicle. Alcohol may be consumed only where lawful, only by passengers of legal drinking age and never by the chauffeur.
- Passenger and luggage limits for the vehicle may not be exceeded.
- Abusive, threatening, discriminatory or unsafe behavior toward chauffeurs, staff or others is prohibited. A chauffeur may end a ride where safety is at risk, and the full fare may still apply.
- You are responsible for damage to a vehicle beyond normal wear caused by you or your party, including cleaning fees for spills or sickness.
08Acceptable use of the platform
You agree not to: use the Services for any unlawful purpose; attempt to gain unauthorized access to any system, account or data; probe, scan or test the vulnerability of the Services without our written permission; interfere with or disrupt the Services; use bots, scrapers or other automated means to access the Services except through interfaces we make available for that purpose; reverse engineer the Services except where the law permits; impersonate any person; or submit false, misleading or infringing content.
09Intellectual property
The Services, including the Elite Ride Limousines name, logo, emblem, designs, text, graphics, software and other content, are owned by Elite Ride Limousines or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. No other rights are granted. If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation.
10Third-party services
The Services rely on and may link to third-party services, such as mapping, payment, identity, email and bot-protection providers, and the Apple App Store and Google Play. Those services are governed by their own terms and privacy policies, and we are not responsible for them.
11Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure or error-free. Pickup and arrival times are estimates and can be affected by traffic, weather, road conditions and other events outside our control. Nothing in these Terms excludes any warranty or right that cannot be excluded under applicable law.
12Limitation of liability
To the fullest extent permitted by law, Elite Ride Limousines and its officers, employees, agents and partners will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, or for missed flights, connections, meetings or events, arising out of or related to the Services, even if advised of the possibility of such damages. Our total liability for any claim arising out of or related to the Services will not exceed the greater of the amount you paid us for the specific service giving rise to the claim or one hundred United States dollars (US $100).
These limitations do not apply to liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
13Indemnification
You agree to indemnify and hold harmless Elite Ride Limousines and its officers, employees, agents and partners from any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Services, your violation of any law or the rights of a third party, or the conduct of passengers in your party.
14Suspension and termination
You may stop using the Services at any time and may ask us to close your account. We may suspend or terminate your access at any time if you breach these Terms, if required by law, or to protect the safety or security of the Services or any person. Provisions that by their nature should survive termination, including payment obligations, intellectual property, disclaimers, limitations of liability and indemnification, will survive.
15Governing law and disputes
These Terms are governed by the laws of the state in which Elite Ride Limousines is organized, without regard to its conflict of law rules. Before starting any formal proceeding, you agree to contact us and attempt to resolve the dispute informally for at least 30 days. Subject to any mandatory rights you have under the law of your place of residence, any dispute that is not resolved informally will be brought exclusively in the state and federal courts located in the state in which Elite Ride Limousines is organized, and you and Elite Ride Limousines consent to the jurisdiction of those courts.
16General terms
- Changes to these Terms: we may update these Terms from time to time. We will update the effective date above and, for material changes, give reasonable notice. Your continued use of the Services after the changes take effect means you accept them.
- Entire agreement: these Terms, the Privacy Policy and any booking-specific terms disclosed to you are the entire agreement between you and us regarding the Services.
- Severability: if any provision is found unenforceable, the remaining provisions remain in full effect.
- No waiver: our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure: we are not liable for any delay or failure caused by events beyond our reasonable control.
